B2B Seller Agreement

1. Eligibility & Verification (KYC Standard)

To maintain the trust of Canadian consumers, BorealMart is strictly a verified platform. Sellers must be registered Canadian business entities with a valid CRA Business Number (BN9) or provincial Business Identification Number (BIN), operating from within Canadian borders. All onboarding merchants are subject to Know Your Customer (KYC) verification.

2. Anti-Cannibalization Pledge & Merchant Data Sovereignty

In adherence to our core philosophy documented in the BorealMart Master Charter:

• Zero First-Party Competing Lines: BorealMart commits never to scrape merchant sales metrics to launch private-label direct competitor lines against our verified sellers.
• Data Protection: Your customer order data and SKU performance belong solely to your commercial enterprise.
• Fair Economics: Zero listing fees. A competitive flat take rate (6.0%–7.5%) is charged exclusively upon successful completed transactions.

3. Domestic Fulfillment & Prohibition of Drop-Shipping

All merchandise sold on BorealMart must be physically warehoused in Canada and fulfilled across Canadian carrier networks (Canada Post, Purolator, UPS, Chit Chats). Drop-shipping from foreign territories (such as China or international drop-shipping hubs) is strictly prohibited. Orders must be dispatched with carrier tracking within 48 business hours.

4. Condition Grading & True North Buyer Guarantee

All inventory must be inspected and cataloged strictly under BorealMart's standardized 5-tier taxonomy (New, Like New / Open Box, Refurbished, Used – Good, Salvage / Parts Only). Sellers agree to honor the True North Buyer Guarantee:

• Claims for transit damage, functional defects, or material discrepancies reported within 7 calendar days of carrier delivery must be resolved with a prepaid return label and full refund.
• All sales are otherwise Final Sale to preserve discount integrity. Items graded "Salvage / Parts Only" are sold strictly AS-IS with zero return remedies.
• For shipments to Quebec, merchants must comply with the statutory legal warranties under the Quebec Consumer Protection Act (LPC).

5. Payout Schedules & Remittance

Settlements are disbursed via Electronic Funds Transfer (EFT) directly to your verified Canadian financial institution on a rolling 7-day schedule, following order carrier delivery scan.
